Brazil Tokenized Securities Enter CVM Review With 60-Day Deadline

Brazil Tokenized Securities

Brazil tokenized securities moved onto a formal regulatory timetable after the Comissão de Valores Mobiliários created a 14-member working group. The panel will study blockchain-based issuance and management. It will also draft oversight proposals for the emerging market in Brazil.

According to the report, the Securities Tokenization Working Group, known as GTT, has two main deadlines after its formal installation. It must present an experimental regulatory framework within 60 days. Its wider review must finish within 120 days.

The CVM may grant the group an additional 30 days for completion. After completing its work, the panel will submit a final report. That document will contain findings and regulatory recommendations.

What Brazil Tokenized Securities Review Will Cover

The review will cover registration, deposits, custody, trading, and settlement. In addition, it will look at cybersecurity and operational risks. All these issues concern all the stages of the tokenized securities market.

The GTT will not concentrate on one type of blockchain and tokens. Rather, the group will review the compatibility of Brazil tokenized securities with current regulations in finance. Moreover, the members will analyze the risks associated with DLT technology.

The officials will compare Brazilian regulation with similar approaches taken overseas. The panelists will also review outcomes of regulatory sandbox experiments. The discussions will involve regulators, business representatives, organizations, and other stakeholders.

The group might conduct some trials within the controlled experimental environment. Thus, the officials will have the opportunity to analyze processes that take place in the market. The trials might indicate whether current regulations need any changes.

Representatives from 14 CVM areas will join the initiative. The representatives of GTT will be Vasco José Alexandre and Gomes Bruno. In addition, representatives of other government bodies and outside experts may also participate.

Why the CVM Sees Tokenization as a Major Market Shift

According to CVM President Otto Lobo, the phenomenon of tokenization represents a fundamental market innovation for Brazil. Therefore, it requires a corresponding level of regulatory innovation. His statement appeared in the regulator’s official release.

The decision follows recent efforts to regulate Brazil tokenized securities. According to CVM projections, the potential volume of tokenized assets in Brazil can exceed $740 million.

The country currently allows some form of issuance of digital securities by applying its crowdfunding regulations. These allow for offers up to 15 million reais, which equals about $2.78 million during a 180-day period.

The working group will review the appropriateness of current regulations. Further recommendations will be provided to the CVM Board upon completing the review and identifying risks associated with the market.

Why Drex and B3 Matter for Brazil Tokenized Securities

Brazil is also developing the infrastructure for digital assets. The central bank is developing the Drex project that represents a distributed ledger-based digital currency.

At the same time, Brazil’s largest exchange B3 continues to develop cryptocurrency market products. B3 introduced options on Bitcoin, Ethereum, and Solana futures that represent additional instruments for managing exposure.

The GTT is expected to be used in further discussions in the sphere of regulation. Findings of the group may become a basis for regulating Brazil tokenized securities. The first proposal should be submitted within 60 days.
