The U.S. Securities and Exchange Commission (SEC) approved Galaxy Digital’s trade on the Nasdaq stock exchange as an artificial intelligence and cryptocurrency investment firm. The company operates under the Toronto Stock Exchange (TSX) and plans to relocate its headquarters from the Cayman Islands to Delaware to simplify its corporate structure and operations. The relocation depends on shareholders’ and TSX approval for completion before mid-May.
Delaware Move and Reorganization Plans
In its April 7 statement, Galaxy Digital confirmed the relocation to Delaware, citing the state’s favorable corporate environment as a key factor in the decision. Delaware maintains a reputation for strong corporate legislation and attracts many publicly traded companies to establish their bases there. The company intends to increase its market competitiveness by using Delaware’s legal advantages and modernized corporate law structure.
The reorganization plan, which includes the shift to a U.S.-based holding company named Galaxy Digital Inc., will see the company’s shareholders receive Class A common stock on a one-for-one basis. This change will not affect shareholders’ voting rights or economic interests.
According to CEO Michael Novogratz, the shift holds significant value for Galaxy, who called it essential for the firm’s goal to expand digital asset operations and artificial intelligence infrastructure. According to the CEO, the transition’s completion is scheduled for mid-May after the shareholder vote on May 9.
Nasdaq Listing Under Ticker Symbol GLXY
In addition, Galaxy Digital intends to bring its Class A shares to the Nasdaq Global Select Market through the ticker symbol “GLXY.” After waiting over three years, the firm is prepared to achieve a significant milestone through its Nasdaq listing. With the approval from the SEC, Galaxy Digital expects their reorganization toward listing, and TSX’s final approval is expected to move forward without delay.
Galaxy Digital will maintain its listings on the Nasdaq and the TSX during the transitional phase, providing continued access to U.S. and Canadian markets. The firm selected Nasdaq for listing to pursue enhanced market leadership in digital asset and AI infrastructure domains.
