The XRP treasury sector has reached a new milestone after Evernorth Holdings completed its business combination with Armada Acquisition Corp. II on October 9. The company enters public markets holding approximately 473 million XRP and $300 million in gross cash proceeds, with its Nasdaq listing scheduled for October 12 under the ticker XRPN.

The completed merger gives investors another route to gain exposure to XRP through public-market shares. However, Evernorth’s stock will represent an investment in a company holding and managing digital assets, rather than direct ownership of XRP. Its financial performance will depend on cryptocurrency prices, capital allocation decisions, operating costs, and the results of its investment strategies.

XRP Treasury Evernorth Secures Nasdaq Listing
According to the statement from Evernorth, the company expects that its common stock will start trading on the Nasdaq stock exchange on Monday, October 12, after the deal will be completed. The new firm was founded to offer institutional participation in the XRP ecosystem via a publicly traded entity.

The business combination is preceded by a number of corporate and regulatory actions. Shareholders of Armada approved the combination in September, while the registration statement filed by Evernorth became effective in August. The completion statement implies that the transaction went beyond the shareholder approval stage.
Evernorth was sponsored through Armada Acquisition Corp. II, a special purpose acquisition company backed by Arrington XRP Capital Fund. SPAC transactions allow private businesses to enter public markets by combining with an existing listed acquisition company, subject to regulatory requirements and shareholder approval.
Evernorth Enters Markets With 473 Million XRP
Evernorth had reported a total of about 473 million XRP and $300 million in gross cash proceeds excluding transaction costs. Evernorth has secured funding from institutional and digital asset investors such as Ripple, SBI Group, Pantera Capital, Kraken, GSR, and Arrington Capital.
These holdings provide the starting point for Evernorth’s treasury strategy. However, the reported cash is the gross cash received rather than the actual net cash position after excluding transaction costs among others. The value of XRP assets will also depend on the market price.
The company intends to grow the number of XRP per share held over time. This is according to the CEO, Asheesh Birla, who said that the company will use the capital to invest within the XRP economy and grow its utility through various strategies.
XRP Treasury Strategy Targets Institutional Finance
The Evernorth business strategy is aimed at utilizing its positions through institutional and decentralized finance initiatives, ecosystem involvement and capital market activity. The firm has determined that tokenized assets, on-chain credit markets, and settlement networks are areas that require additional capital to further develop in the XRP ecosystem.
Therefore, it becomes clear that Evernorth will aim to utilize its investments to earn additional profit and not simply to buy and keep XRP tokens. The outcome of such an initiative will depend on the efficiency of capital allocation and handling risks connected with lending, decentralized finance and any other digital assets-related operations. These kinds of financial activities can yield returns but may have certain risks.
For shareholders, the important indicator will be the growth of XRP positions per share for the period of time. The mere growth of XRP holdings does not mean anything positive for existing shareholders if, at the same time there are more shares issued by the company.
XRP Treasury Listing Faces Market Risks
Evernorth’s debut comes as companies continue exploring public-market structures for cryptocurrency exposure. Spot XRP exchange-traded funds provide another investment route, while publicly traded treasury companies offer exposure through corporate shares. These structures differ in fees, governance, liquidity, and how closely their market values track the underlying cryptocurrency.
Other firms working with digital assets have also merged via SPACs. Securitize merged with Cantor Equity Partners II in July, whereas CoinShares debuted on Nasdaq after merging with Vine Hill Capital Investment Corp in April. However, not every proposed transaction has proceeded, with Ether Machine abandoning its planned merger in April amid unfavorable market conditions.
Evernorth is expected to close the Nasdaq trading bell on October 14, joining representatives of the company, investors, and XRP community. The next step for Evernorth would be to show the results of its treasury and investing strategies according to public reporting requirements.
